Terms and Conditions for Freight Services

These Terms and Conditions (“Agreement”) apply to the transportation services provided by Seek First Transport ("Broker"). By engaging in services with us, you (“Shipper”) acknowledge and agree to the following terms:

1. Services Provided

Seek First Transport arranges for the transportation of freight on behalf of the Shipper by third-party carriers (“Carriers”). The Broker is not a motor carrier and does not operate transportation vehicles. Our role is to coordinate transportation logistics between you and the Carrier, under the applicable regulations and laws.

2. Responsibilities of the Shipper

As the Shipper, you are responsible for:

  • Providing accurate and complete shipment information, including the nature of the goods, dimensions, and weight.

  • Ensuring all shipments comply with legal and regulatory requirements, including hazardous materials and food safety laws (if applicable).

  • Packaging and securing freight appropriately for transport.

  • Providing any special instructions, including temperature control or other specific shipment requirements, prior to booking.

3. Broker’s Responsibilities

Seek First Transport is responsible for:

  • Selecting qualified Carriers with the proper operating authority and insurance.

  • Coordinating the transportation of shipments with these Carriers.

  • Providing shipment updates where applicable.

  • Assisting the Shipper with claims for loss or damage to goods, when applicable.

4. Payment Terms

Payment for freight brokerage services is due within 30 days from the invoice date. The Shipper agrees to pay all charges incurred for transportation, including fees for special services or additional charges incurred due to delays or misdirected shipments.

5. Liability

  • Seek First Transport is not liable for any damages, delays, or loss of goods during transport.

  • Liability for loss or damage to freight lies with the Carrier and is governed by their terms, including the Carmack Amendment and any applicable insurance policies.

  • Claims for loss or damage must be submitted within 9 months of delivery.

6. Insurance

We recommend that all shipments be insured. Seek First Transport does not provide direct cargo insurance but does hold a contingent cargo insurance policy.

7. Claims

For cargo claims, the Shipper must file the claim directly with the Carrier. Seek First Transport will assist in facilitating this process. Claims for damage or loss must be submitted to Seek First Transport or the Carrier within 9 months.

8. Confidentiality

Both parties agree to maintain the confidentiality of all sensitive information exchanged during the term of this Agreement, including but not limited to freight rates, shipment details, and customer information. This obligation extends beyond the termination of the Agreement.

9. Force Majeure

Neither party will be held liable for failure to perform any of its obligations under this Agreement due to circumstances beyond its reasonable control, such as natural disasters, government actions, or transportation strikes.

10. Governing Law

This Agreement is governed by and construed in accordance with the laws of State of Mississippi, and any disputes shall be resolved in the courts located in a state court located in Mississippi.

11. Modifications

Seek First Transport reserves the right to modify or update these Terms and Conditions at any time. Notice of changes will be provided to the Shipper, and continued use of our services will constitute acceptance of the updated Terms.
